novatab.com website and free-trial use of Nova. Paid use of the Nova platform is governed by a separate Master Services Agreement (MSA) signed at contract.By accessing or using novatab.com or any Nova service, you agree to these Terms. If you do not agree, do not use the service. If you are using Nova on behalf of an organization, you represent that you have authority to bind that organization.
Nova provides an AI-native operating system for restaurants, including but not limited to point-of-sale (POS), kitchen display systems (KDS), online ordering, mobile applications, loyalty, marketing, workforce management, inventory, financial reporting, hardware, and AI-powered features. Services are subject to change.
To access certain Nova services you must create an account. You agree to provide accurate information, keep it current, maintain the security of your credentials, and accept responsibility for activities under your account.
Nova services are offered in paid tiers (AI Starter, Core, Growth) with per-location pricing and annual or monthly billing options. Fees are non-refundable except as required by law or your MSA. Hardware fees are governed separately. Promotional offers (including the free-kiosk offer) are subject to their stated terms.
You agree not to:
You retain all rights to your data and content. You grant Nova a limited license to process your data to provide the Nova platform. For restaurant guest data, you are the data controller; Nova is the data processor. See our Privacy Policy for details.
Nova retains all rights to the Nova platform, including all software, designs, trademarks, and AI models. We grant you a limited, non-exclusive, non-transferable license to use the Nova platform during your subscription term, subject to these Terms and your MSA.
Each party will protect the other's confidential information with at least the same degree of care it uses for its own. Confidential information includes pricing, technical specifications, customer lists, and any information marked confidential or that a reasonable person would consider confidential.
Nova warrants that the platform will perform substantially in accordance with its documentation. EXCEPT FOR THE WARRANTIES EXPRESSLY STATED HEREIN, NOVA DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
EXCEPT FOR BREACHES OF CONFIDENTIALITY, INDEMNIFICATION OBLIGATIONS, OR YOUR PAYMENT OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO NOVA DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
These Terms remain in effect while you use Nova. Either party may terminate for material breach with 30 days' written notice. Upon termination, your right to use Nova ceases, and we will provide a reasonable period for you to export your data.
These Terms are governed by the laws of the State of Delaware, without regard to conflicts of laws principles. Any dispute arising out of these Terms shall be resolved by binding arbitration in San Francisco, California, except either party may seek injunctive relief in court for IP infringement or breach of confidentiality.
These Terms (together with the MSA, DPA, and Privacy Policy where applicable) constitute the entire agreement between you and Nova. If any provision is unenforceable, the remainder shall remain in effect. We may update these Terms; material changes will be communicated by email to account holders.
